Terms of Service

These Terms of Service ("Terms") govern your access to and use of SpecSwift's spec-scanning service, website, and related applications (collectively, the "Service"). Please read them carefully. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Agreement to These Terms

These Terms form a binding agreement between you and SpecSwift. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

2. Who We Are

The Service is provided by H. Mollenry and Co., located at P.O. Box 3605, Dublin, Ohio 43016 ("SpecSwift," "we," "us," or "our"). SpecSwift helps construction estimators and bidding teams analyze project specification documents by extracting, organizing, and flagging requirements relevant to a bid.

3. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use, not for personal, household, or consumer purposes.

To use most features, you must create an account through our authentication provider. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use.

4. Beta Service

The Service is currently offered as a beta (pre-release) product. This means it is still under active development and may be incomplete, contain bugs or errors, change without notice, or be unavailable from time to time. Features may be added, modified, or removed at any point.

Because the Service is in beta, it is provided on an "as is" and "as available" basis (see Section 14), and we may impose usage limits, such as a cap on the number of projects or scans, that can change at any time. We may also discontinue the beta, or the Service entirely, at any time.

5. The Service & License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes — namely, scanning specification documents and reviewing the summaries and flagged items the Service generates.

We reserve all rights not expressly granted to you. This license does not give you the right to resell, sublicense, or make the Service available to third parties as a standalone offering.

6. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Upload or process documents you do not have the right to use, or that infringe the intellectual property, confidentiality, or privacy rights of others.
  • Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or contractual obligation.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code or underlying models of the Service, except where such restriction is prohibited by law.
  • Use the Service to develop a competing product, or to build, train, or improve a machine-learning model.
  • Upload malware, or use the Service to transmit harmful, harassing, or unlawful content.
  • Circumvent or attempt to circumvent any usage limits, rate limits, or access restrictions.

7. Your Content

"Your Content" means the specification documents you upload and any notes, selections, or other inputs you provide. As between you and us, you retain all ownership rights in Your Content.

You grant us a limited license to host, store, process, and transmit Your Content solely as needed to operate and provide the Service to you — including sending document content to our AI/LLM provider to generate your results, as described in our Privacy Policy. You represent that you have all rights necessary to grant this license and to upload Your Content.

You can delete your scanned jobs and their underlying documents at any time within the app. Deletion is permanent and cannot be undone.

8. AI-Generated Output

The summaries, flagged requirements, and other outputs the Service generates ("Output") are produced using automated AI/LLM technology. AI systems can make mistakes: Output may be incomplete, inaccurate, outdated, or misleading, and may omit important requirements or conditions.

You are responsible for independently reviewing and verifying all Output against the original specification documents before relying on it for any bid, estimate, or decision. We do not warrant the accuracy, completeness, or fitness of any Output.

9. No Professional Advice

The Service is a productivity tool. It does not provide legal, engineering, architectural, construction, financial, or other professional advice, and using it does not create any professional relationship. Output is not a substitute for the professional judgment of a qualified estimator, engineer, or attorney. All bidding, estimating, and contracting decisions remain solely your responsibility.

10. Third-Party Services

The Service relies on third-party providers — including an authentication provider, object storage, AI/LLM, and hosting and infrastructure providers — to function. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts, omissions, or availability. We may add, change, or replace these providers at any time.

11. Intellectual Property

The Service, including its software, design, branding, logos, and all related intellectual property, is owned by SpecSwift or its licensors and is protected by intellectual property laws. Except for the limited license granted in Section 5, these Terms do not transfer any rights in the Service to you.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

12. Fees & Free Beta

The Service is currently offered free of charge during the beta, subject to usage limits. We reserve the right to introduce paid plans or fees in the future. If we do, we will provide notice and the applicable pricing terms before any charges apply, and your continued use after that point will be subject to those terms.

13. Suspension & Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason — including if we believe you have violated these Terms, to protect the Service or other users, or if we discontinue the Service.

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including those on Your Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

14. Disclaimers

The Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any Output will be accurate, complete, or reliable. You use the Service and rely on Output at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, SpecSwift and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities — including losses arising from a lost or mis-estimated bid — even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100). Because the Service is currently free during the beta, this amount may be USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless SpecSwift and its officers, employees, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, your reliance on any Output, or your violation of these Terms or applicable law.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws principles.

You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Nevada, and you consent to the personal jurisdiction of those courts. Nothing in this section limits either party's ability to seek injunctive relief where appropriate.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will provide additional notice as required by law, such as by email or an in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
